1. Market Risk The value of real estate assets fluctuates based on macroeconomic conditions, interest rates, local demand-supply imbalances, regulatory changes, and geopolitical factors. There is no guarantee that real estate values will appreciate or remain stable.

2. Liquidity Risk Real estate is inherently illiquid. Investors may not be able to exit or sell their interest quickly, especially during adverse market conditions. Redemption requests may be delayed or subject to lock-in periods as outlined in the Fund’s offering documents.

3. Rental Income Risk Rental income is subject to tenant occupancy, lease defaults, vacancy periods, and changes in rental demand. There is no assurance that projected rental yields will be achieved.

4. Legal and Regulatory Risk Changes in real estate laws, tax codes, foreign ownership regulations, or visa/residency policies in the UAE or an investor’s country of tax residence could materially impact returns or ownership rights.

5. Currency Risk If you are investing in a currency different from the Fund’s base currency (USD), fluctuations in exchange rates may affect your net returns, especially during capital repatriation.

6. Management Risk The Fund's success depends on the skill and diligence of its management team, developers, and property operators. Poor judgment, fraud, or mismanagement could negatively impact performance.

7. Political and Economic Risk Instability in the UAE or the broader Middle East region, or global economic disruptions (e.g., pandemics, financial crises), may adversely affect real estate valuations and fund operations.

9. Taxation Risk Tax laws are subject to change. Investors may face unanticipated tax obligations in their home country or in the UAE, despite current tax exemptions.

10. Guarantee of Returns All investments carry risk. The Fund makes no guarantee regarding income, capital preservation, or return on investment. Past performance is not indicative of future results.
